Subject: Interim Dividend Payment, Change of Managing Director,
Director, Chairman of the
Board and Re-election of Audit Committee members
To: President of The Stock Exchange of Thailand
Dear Sir,
Esso (Thailand) Public Company Limited ("Company") would like to notify the
Stock Exchange of
Thailand that the Board of Directors' Meeting No. 4/2009 held on August 31,
2009 approved the
significant matters as follows:
1. The payment of an interim dividend of Baht 0.25 (Twenty Five Satangs
only) per share for
all outstanding shares; the Record Date for ascertaining entitlement
to interim dividend be
on September 15, 2009; the share register book closing date for
collecting the names of
shareholders pursuant to the Securities and Exchange Act, Section 225
be on September
16, 2009; and the interim dividend be paid to all eligible
shareholders on September 28,
2009.
Note: The individual shareholders will not be able to claim a tax
credit under Section 47 bis
of the Revenue Code with respect to this dividend because the net
profit from which this
dividend is paid has been completely offset by a net loss carried
forward from prior
accounting periods not exceeding 5 years for corporate income tax
purposes.
2. Appointment of Mr. Robert Michael Cooper as a Managing Director to
replace Mr. Daniel E.
Lyons, the resigning Managing Director, with effect from September 1,
2009;
3. Appointment of Mr. Robert Michael Cooper as a director and chairman of
the Board of
Directors to replace Mr. Daniel E. Lyons with effect from September 1,
2009;
4. Re-election of the Audit Committee members whose term will expire on
October 18, 2009,
namely, Khun Sompop Amatayakul, Khun Smit Tiemprasert and Khun
Wattanee Phanachet,
for another 2 years term with effect from October 19, 2009.
